Terms of Service

1. The service
ClinoraSys is a product of Orient Innovations, 7100 Foundry Row, Suite 288-51, Liberty Township, OH 45069 ("we", "us"). We provide web-based software for medical practices: the Revenue Cycle System (medical billing) and the Credentialing Repository (provider credentialing and directory), together "the Service". These Terms are an agreement between us and the practice that subscribes ("you").
2. Accounts and access
You are responsible for the people you give access to, for keeping sign-in credentials confidential, and for everything done under your accounts. Each user must use their own account and two-step sign-in. Tell us promptly of any unauthorized use.
3. Subscription, fees and payment
The Service is billed monthly in advance. The current prices are $250 per month for the Revenue Cycle System and $25 per provider per month for the Credentialing Repository. Your first month is charged when you subscribe, and each following month on the same day, to the card you provide, until the subscription is cancelled. Card payments are processed by Authorize.Net; we do not receive or store your full card number. We may change prices with at least 30 days' notice; the new price applies from your next charge after the notice period.
4. Cancellation
You may cancel at any time by contacting us. Cancellation takes effect at the end of the month already paid for, and no further charges are made.
30-day money-back guarantee. If you cancel a product within 30 days of its first charge, we refund that first charge in full. This applies to both the Revenue Cycle System and the Credentialing Repository. Later monthly charges are not refunded.
After cancellation we keep your data for one year, during which you may request an export of it. After that it is deleted, unless the law requires us to keep it longer.
5. Your data
You own the data you enter. We use it only to provide the Service to you, as described in our Privacy Policy and the Business Associate Agreement, which forms part of these Terms where the Service handles protected health information.
6. Acceptable use
You will use the Service lawfully, enter only data you are entitled to use, and not attempt to access other customers' data, probe or disrupt the Service, or resell it without our written agreement.
7. Availability and support
We aim to keep the Service available at all times other than scheduled maintenance, and provide support by email during business hours. The Service does not submit claims or make billing or credentialing decisions on your behalf; you remain responsible for the accuracy of what you submit to payers.
8. Warranties and liability
The Service is provided "as is". To the extent permitted by law, our total liability arising from the Service in any twelve-month period is limited to the fees you paid for it in that period, and neither party is liable for indirect or consequential losses. Nothing in these Terms limits liability that cannot be limited by law.
9. Changes
We may update these Terms. Material changes will be notified at least 30 days in advance; continued use after that is acceptance.
10. Governing law
These Terms are governed by the laws of the State of Ohio, and the courts of Ohio have jurisdiction over any dispute arising from them.
